Terms of Service

Introduction

Konnetta ("we," "us," or "our") operates the web application accessible at https://konnetta.com, a global online marketplace that connects clients ("Clients" or "you," if acting in that capacity) with vetted vendors ("Vendors" or "you," if acting in that capacity) for in-person professional engagements. Services facilitated through the Platform include, without limitation, photography, videography, content creation, tour guiding, drone operations, and similar travel-related offerings (collectively, the "Services"). The Platform enables features such as user registration, job postings, service discovery, secure bookings via escrow, in-app messaging, ratings and reviews, dispute resolution, and real-time matching.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Konnetta regarding your access to and use of the Platform and Services. By accessing, browsing, or using the Platform, you affirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Data Privacy Section (each incorporated herein by reference). If you are entering into these Terms on behalf of a business or entity, you represent that you have the authority to bind such entity.

The Platform is intended for users who are at least 18 years of age or the age of majority in their jurisdiction of residence. Users under such age must have parental or guardian consent. We reserve the right to refuse access to any user who violates these Terms. These Terms may be updated periodically; continued use after changes constitutes acceptance.

Article 1: User Eligibility and Registration

To use the Platform, you must meet certain eligibility criteria and complete registration.

1.1 Eligibility Requirements

You represent and warrant that: (a) you are legally capable of forming binding contracts; (b) you are not barred from using the Platform under applicable law; (c) all information you provide is accurate, current, and complete; and (d) you will maintain the confidentiality of your account credentials. Vendors and clients must additionally undergo vetting, including submission of government-issued identification and background verification, to ensure trustworthiness.

1.2 Account Creation and Security

Registration requires providing personal information (e.g., name, email) and creating a username/password. You agree to use a strong password and enable two-factor authentication where available.

You are solely responsible for all activities under your account. Notify us immediately of any unauthorized use via support@konnetta.com.

We may suspend or terminate accounts for violations, inactivity (after 24 months), or at our discretion, without liability.

Article 2: Description of Services

The Platform acts as an intermediary facilitator, not a party to transactions between Clients and Vendors.

2.1 Platform Functionality

For Clients: Search for Vendors by location/service, post custom jobs, browse portfolios/reviews, book securely with escrow, communicate via in-app chat, and leave ratings.

For Vendors: Create profiles, manage calendars/portfolios, receive job matches, accept bookings, deliver Services, and rate Clients.

Core features include 24/7 support, seamless booking, secure escrow (processed by third-party providers like Stripe or PayPal), quick dispute resolution, user dashboards, and verified user badges.

2.2 Non-Provision of Services

We do not provide, endorse, or guarantee any Services; all engagements occur directly between users. In-person meetups are at your own risk, and we disclaim liability for outcomes, including service quality, safety, or disputes arising from physical interactions.

2.3 Modifications to Services

We may update, suspend, or discontinue the Platform or features at any time, with or without notice, without liability.

Article 3: User Obligations and Conduct

You agree to use the Platform responsibly and in compliance with law.

3.1 Prohibited Conduct

You shall not: (a) post false, misleading, or infringing content (e.g., unauthorized portfolios); (b) engage in harassment, spam, or illegal activities; (c) interfere with Platform operations (e.g., via malware); (d) solicit off-Platform transactions to evade fees; (e) impersonate others; or (f) violate intellectual property rights. Vendors must deliver Services as described; Clients must honor bookings.

3.2 Content Responsibilities

User-generated content (e.g., reviews, job posts) is your sole responsibility. You grant us a worldwide, royalty-free, perpetual license to host, display, and moderate such content. We may remove violative content without notice.

3.3 Compliance with Laws

You agree to comply with all applicable laws, including export controls, anti-corruption statutes (e.g., FCPA), and local regulations for in-person Services (e.g., permits for drone operations).

Article 4: Payments, Fees, and Refunds

All monetary transactions are facilitated through third-party processors.

4.1 Fees and Payment Processing

Platform fees (e.g., service commissions) are disclosed at booking and deducted from escrow upon successful delivery.

Payments are handled exclusively by Stripe or PayPal; we do not store financial data. You authorize us to direct charges to your linked account.

All fees are non-refundable except as provided in dispute resolution.

4.2 Escrow and Release

Funds are held in escrow until Service completion, confirmed by both parties or our review. Early release requires mutual agreement.

4.3 Taxes and Refunds

You are responsible for applicable taxes. Refunds are at our discretion, limited to verified non-delivery or material breaches, minus fees.

Article 5: Intellectual Property Rights

The Platform and its content are protected by law.

5.1 Our Rights

All trademarks, logos, software, and proprietary materials are owned by us or licensors. You are granted a limited, revocable, non-exclusive license for personal use only.

5.2 User Content License

By uploading content, you grant us and users a non-exclusive, transferable license to use it for Platform purposes (e.g., matching, promotions). You retain ownership but waive moral rights.

5.3 Infringement Claims

Report violations via dmca@konnetta.com. We respond under DMCA safe harbor provisions.

Article 6: Disclaimers and Limitations of Liability

USE AT YOUR OWN RISK.

6.1 Disclaimers

The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of merchantability, fitness, or non-infringement. We do not guarantee uninterrupted access, error-free operation, or Service quality. In-person Services carry inherent risks (e.g., personal safety); we are not liable for third-party actions.

6.2 Limitation of Liability

To the fullest extent permitted by law, our total liability shall not exceed fees paid by you in the prior 12 months. We disclaim consequential, incidental, or punitive damages. This applies regardless of foreseeability or negligence.

6.3 Indemnification

You agree to indemnify and hold us harmless from claims arising from your use, violations, or Services (e.g., injuries from meetups).

Article 7: Termination and Suspension

We may enforce these Terms through account actions.

7.1 Termination by You

You may close your account anytime via dashboard settings, subject to pending obligations (e.g., escrows).

7.2 Termination by Us

We may terminate or suspend access for breaches, with notice where feasible. Upon termination, obligations survive (e.g., payment, confidentiality).

7.3 Effects of Termination

Access ceases; accrued rights (e.g., earned fees) remain. Data retention follows our Privacy Policy.

Article 8: Dispute Resolution and Governing Law

Disputes shall be resolved amicably, then formally.

8.1 Informal Resolution

Contact support@konnetta.com for issues. For disputes, provide details; we aim to resolve within 14 days.

8.2 Arbitration

Except for small claims or injunctive relief, disputes shall be resolved by binding arbitration under AAA rules in Austin, TX. Class actions are waived. This clause survives termination.

8.3 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflicts of law principles. Venue for non-arbitrable claims: courts located in Travis County, Texas.

Article 9: Miscellaneous Provisions

9.1 Entire Agreement

These Terms, with incorporated policies, constitute the full agreement, superseding priors.

9.2 Severability

Invalid provisions are severed; remainder enforceable.

9.3 No Waiver

Failure to enforce does not waive rights.

9.4 Assignment

We may assign; you may not without consent.

9.5 Force Majeure

Delays due to uncontrollable events (e.g., pandemics) excuse performance.
